1. Acceptance of Terms

By accessing this website or engaging KNP Consulting ("we," "us," or "our") for technical audits, workflow engineering, or advisory services, you ("Client" or "User") agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must cease using our website and services immediately.

2. Scope of Services

KNP Consulting provides independent technology advisory, system infrastructure audits, custom web application development, workflow automation engineering, and background task optimization.

All custom production engagements are governed by separate, comprehensive Statements of Work (SOW) signed directly by both parties. The information on this website is for general introductory purposes and does not constitute a formal binding service contract.

3. Independent Advisory & No Commissions Policy

To preserve absolute objectivity, KNP Consulting operates under a strict independent advisory model. We do not accept commissions, affiliate fees, referral payouts, or financial kickbacks from third-party software companies or SaaS vendors (such as ERP providers, cloud hosting infrastructures, or data analytics platforms). All technical evaluations and recommendations are engineered solely to fit the Client's operational requirements and budget constraints.

4. Third-Party Costs & Infrastructure Responsibility

When custom software systems, automation pipelines, or data integrations are deployed on behalf of the Client, the Client assumes full financial and administrative responsibility for all underlying third-party platforms, operational tools, and hosting vendor subscriptions.

KNP Consulting is not liable for disruptions, service degradation, security breaches, api structural shifts, or pricing fluctuations originating from external third-party software systems.

5. Intellectual Property & Code Ownership

Unless explicitly structured otherwise in a specific signed Statement of Work, all custom application source code, custom database schemas, and proprietary automation scripts engineered uniquely for the Client transfer full intellectual property ownership to the Client immediately upon receipt of final project payment in full.

KNP Consulting retains the underlying rights to open-source libraries, base boilerplate architectures, and generic engineering frameworks utilized in the deployment process.

6. Limitation of Liability

To the maximum extent permitted by applicable law within the European Union, KNP Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of business profits, unexpected system downtime, data corruption, or capital overhead spikes resulting from technical advice or deployed workflows. Our total liability under any production engagement shall not exceed the financial amount paid by the Client to us for that specific service segment.

7. Governing Law and Jurisdiction

These Terms of Service and any transactional disputes related to our advisory services are governed exclusively by the laws of Belgium. Any legal proceedings or administrative reviews shall be conducted within the competent courts of Brussels, Belgium.
